Since the enactment of the so-called “intermediate sanctions” rules for public charities over a decade ago, the Internal Revenue Service has focused increasingly on executive compensation issues. In 2007, the Service published the results of its survey of the compensation practices at over 1,800 public charities and private foundations. The Service also announced its plans to continue reviewing executive compensation issues through examinations and other compliance initiatives. This session will explain what a private foundation's board of directors should do to exercise effective oversight of compensation decisions and how to avoid some common mistakes.
